Principal

Michael M. Membrado is the founding principal in the firm.  His practice is focused in the following areas:

• Public and Private Companies.  This includes representation of a broad array of nanocap/ microcap and smallcap public companies and private companies from start-up to middle market involved in a wide range of industries in relation to corporate finance (including everything from negotiated venture capital private placements to SEC registered offerings), securities regulation and compliance, mergers and acquisitions, employment related matters, technology and other intellectual property licensing, and general corporate governance and related matters, including substantial business contract law.  

• Private Investment Funds & Related Entities.  This includes representation of a number of institutional and other venture capital funds, merchant banking / leveraged buyout funds, real estate funds, hedge funds and mezzanine lenders in relation to both general and limited partnership formation, structuring and finance, as well as portfolio investments / acquisitions, dispositions, and related matters.  Increasingly, this has also included a number registered Business Development Companies under the Investment Company Act of 1940.

Mr. Membrado has been practicing in the area of corporate and partnership finance, securities, private equity, M&A, and intellectual property licensing, both in private practice for various firms and well as in-house counsel, for over 18 years.  He is a licensed member of the New York State Bar, an active member of the Association of the Bar of City of New York, as well as a member of the following American Bar Association committees:

• Venture Capital and Private Equity
• Negotiated Acquisitions
• Corporate Tax
